1. Scope of Application
These Terms & Conditions govern all services and deliveries provided by Top Point Workspaces / Top Point Sàrl (hereinafter “the Company”).
They form an integral part of all offers, order confirmations and agreements. Any deviating conditions shall apply only if expressly agreed in writing.
2. Services Provided
The Company provides workplace planning, interior design, furniture and lighting specification, procurement coordination, delivery oversight, installation coordination, and after-sales support.
The exact scope of services is defined in each individual offer or agreement.
3. Scope Limitations
Unless expressly agreed otherwise, the Company does not provide:
• construction or engineering works
• electrical, data or HVAC installations
• structural modifications or site preparation
• wall, ceiling or floor fixings requiring specialised installation
• landlord approvals or permits
• services performed by third-party contractors beyond agreed coordination
The Company acts as a coordinator and advisor within the agreed scope and does not assume the role of a general contractor.
4. Conclusion of Contract
Offers are non-binding unless stated otherwise.
A contract is considered concluded upon written confirmation, signed offer, or receipt of advance payment.
5. Pricing
All prices are stated in Swiss Francs (CHF) unless otherwise specified and are exclusive of VAT unless indicated.
Prices are based on the agreed scope and may be adjusted in case of changes to specifications, quantities, or external costs beyond the Company’s control.
6. Payment Terms
Payment terms are defined in the respective offer and/or agreement.
Unless otherwise agreed, invoices are payable within a reasonable period from the invoice date.
7. Delivery & Lead Times
Delivery times are indicative and depend on manufacturers, logistics, and external factors.
Delays do not entitle the client to cancellation or compensation.
8. Delivery Conditions
The client is responsible for ensuring appropriate conditions for delivery and installation, including:
• safe and unobstructed access to the premises
• availability of lifts or suitable access routes
• readiness of the installation area
Any non-standard access conditions must be communicated in advance.
Additional costs may apply in case of delays, restricted access, or failed delivery attempts.
9. Transfer of Risk
Risk transfers to the client upon delivery of the goods or when the goods are made available at the agreed location.
10. Inspection & Acceptance
The client must inspect all goods upon delivery.
Any visible defects must be reported immediately.
Hidden defects must be reported promptly upon discovery.
11. Warranty
Products are covered by statutory warranty for manufacturing defects.
The warranty does not cover:
• normal wear and tear
• improper use or handling
• modifications by third parties
Remedies may include repair, replacement, or price adjustment, at the Company’s discretion.
12. Changes & Cancellations
Changes requested by the client may affect price and delivery timelines.
Custom-made or specially ordered products cannot be cancelled or returned once production has commenced.
13. Retention of Title
All goods remain the property of the Company until full payment has been received.
14. Liability
The Company is liable only for direct damages caused by proven fault.
Liability for indirect or consequential damages is excluded to the extent permitted by law.
15. Force Majeure
The Company shall not be liable for delays or failure to perform due to events beyond its reasonable control.
16. Intellectual PropertyAll design concepts, drawings, specifications and visualisations remain the intellectual property of the Company unless otherwise agreed in writing.
17. Confidentiality
Both parties agree to treat all project-related information as confidential.
18. Applicable Law & Jurisdiction
These Terms are governed by Swiss law.
Place of jurisdiction: Switzerland.
19. Final Provisions
If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force.
Any amendments must be made in writing.
